Terms of Service

These Terms of Service (“Terms”) govern your access to and use of twodwell.com and any related products and services (collectively, the “Services”) provided by TwoDwell PBC and TwoDwell Funding Inc. and their respective affiliates (collectively, “TwoDwell,” “we,” “us,” or “our”). The Services are used by two types of users: (a) “ADUExperts™” (also referred to as “Members”), who are paid professional users that have completed TwoDwell’s certification course and maintain an active platform subscription; and (b) “Homeowners,” who are free, non-subscribing users that request or receive an ADU Ready Report through the platform or by scanning a QR code. Homeowners do not create accounts and do not pay fees. References to “you” in these Terms apply to both ADUExperts and Homeowners unless a provision specifies otherwise. Financing services offered through the ADU Advantage™ program are subject to separate terms provided by the applicable financing partner.

By checking the box indicating your acceptance, creating an account, or using the Services (including requesting an ADU Ready Report or scanning a QR code), you agree to be bound by these Terms and our Privacy Policy. These Terms are legally binding. If you are using the Services on behalf of an organization, you represent and warrant that you are duly authorized to accept these Terms on its behalf.

1. Eligibility and Account Registration

• You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services.
• You agree to provide accurate and complete account information and to promptly update the information.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us promptly of any unauthorized use.
• ADUExpert Certification. The requirements for ADUExpert certification, including course completion, fees, use of the ADUExpert™ designation, and revocation, are set forth below.
• Homeowners may access certain Services, including requesting ADU Ready Reports and exploring pre-qualification through ADU Advantage, without creating an account. To request an ADU Ready Report, you may be asked to provide a property address, your name, and contact information. This information is subject to our Privacy Policy. By using the Services, Homeowners agree to be bound by these Terms.

ADUExpert Certification

To become an ADUExpert member, you must successfully complete our self-paced ADUExpert™ certification course and pay the applicable one-time certification fee. Upon completion, TwoDwell grants you a limited, non-exclusive, non-transferable, revocable license to use the ADUExpert™ designation and associated marks solely in connection with your active membership and the Services.

The ADUExpert™ designation and all associated rights, including the right to hold yourself out as an ADUExpert, terminate automatically when your membership ends for any reason, whether by voluntary cancellation, non-renewal, non-payment, or termination by TwoDwell. Within fifteen (15) days following the end of your membership, you must: (i) cease all use of the ADUExpert™ name, mark, and designation; (ii) remove or destroy all signage, marketing materials, and other items bearing the ADUExpert™ mark; and (iii) deactivate or remove any QR codes provided by TwoDwell that remain under your control.

TwoDwell may revoke your ADUExpert™ certification at any time for cause, including violation of these Terms, conduct that reflects adversely on the ADUExpert™ program, or failure to meet program standards as communicated by TwoDwell from time to time.

Use of the ADUExpert™ certification and designation is further governed by the ADUExpert Certification Agreement, which will be provided separately and is incorporated into these Terms by reference upon execution.

TwoDwell may offer a refund of the certification fee within fourteen (14) days of payment, provided you have not completed the certification course.

2. Use of the Services

TwoDwell grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and applicable law. For ADUExperts, this license permits use of the Services for your professional business purposes, including generating and distributing ADU Ready Reports and related outputs to your clients. For Homeowners, this license permits use of the Services solely for your personal, non-commercial use.

The Services may include, depending on your user type: ADU Ready Report generation, the Lottie AI assistant, Pro CRM, directory listings, ADU Advantage loan program matching, sign rider fulfillment, and access to ADU Ready Reports and pre-qualification tools. TwoDwell may modify the features available within the Services at any time.

You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code of the Services.
• Circumvent security or access control measures.
• Use the Services to upload, post or transmit unlawful or harmful content, content that infringes any third party’s rights, or to otherwise engage in unlawful activity.
• Use the Services to provide competing products or services or for benchmarking purposes.

3. Membership Materials

3.1 QR Codes

As part of the Services, each ADUExpert receives a unique QR code that directs to the ADUExpert’s profile page on twodwell.com, where viewers can access the ADU Ready Report for the listed property. All QR codes should be scanned with caution. Prior to scanning any QR code you believe to be associated with our Services, you should verify that the QR code does not show visible signs of tampering, including but not limited to stickers, overlays, or other physical alterations placed over or around the code, and that scanning the code directs you to an expected and legitimate location within our Services. If a QR code directs you to an unexpected, unfamiliar, or suspicious destination, do not proceed and report the issue to us immediately.

If you publicly display, post, or distribute any QR code associated with our Services, including on signage, buildings, for-sale signs, or any other physical or digital medium, you agree to:

• Regularly inspect and monitor such QR codes to ensure they have not been altered, tampered with, obscured, or replaced;
• Promptly remove or replace any QR code that you know or reasonably suspect has been compromised; and
• Notify us immediately upon discovering or suspecting any tampering or unauthorized alteration.

You acknowledge that we are not responsible for harm, loss, or damages arising from your failure to monitor QR codes under your control or from third-party tampering with QR codes that are publicly displayed by you.

3.2 Signage

As part of your membership, TwoDwell provides ADU READY™ sign riders (approximately 6″ × 24″, TwoDwell-branded) for use on your active listings. Members may request sign riders through the platform, and TwoDwell will fulfill and ship them at no additional charge. You are solely responsible for the placement, installation, maintenance, and removal of any such signage. By accepting and using signage provided by us, you agree to:

• Place signage only in locations where you have lawful authorization to do so, including compliance with all applicable local ordinances, zoning regulations, homeowners association rules, and property owner permissions;
• Ensure signage is placed and maintained in a manner that does not create a hazard to persons or property; and
• Promptly remove signage upon expiration or termination of your membership, or upon our request.

You acknowledge that we exercise no control over the placement or maintenance of signage once provided to you, and we make no representation that any particular placement is lawful or safe. We are not liable for any fines, penalties, injuries, property damage, or other claims arising from your placement, use, or maintenance of signage. Your obligations under Section 12 (Indemnification) apply fully to any claims arising from your use of signage or QR codes provided by us.

4. Subscriptions, Billing, and Cancellations

If you purchase a paid subscription:

• Fees and billing: You agree to pay all applicable fees for the selected plan. The platform subscription is billed monthly in advance at the then-current rate as shown at checkout. The ADUExpert certification fee is a separate one-time charge due upon enrollment.
• Pre-enrollment disclosures: Before you provide your billing information, TwoDwell will present you with the following information in a clear and conspicuous manner: (a) that your subscription will automatically renew on a recurring basis unless you cancel; (b) the length of each renewal period; (c) the monthly subscription rate and the frequency of charges, disclosed separately from the one-time certification fee; (d) the methods available to cancel, including a direct link to the online cancellation mechanism; and (e) TwoDwell’s contact information.
• Automatic renewal and consent: Your subscription will automatically renew each billing period at the then-current rate and will continue until you cancel. Before your subscription begins, you will be asked to provide your express affirmative consent to the automatic renewal terms described in this Section 4, separate from your acceptance of these Terms. TwoDwell will not charge your payment method on a recurring basis without first obtaining this separate consent. TwoDwell will maintain a record of your affirmative consent for at least three (3) years following the date of consent, or one (1) year following termination of your subscription, whichever is longer. For the avoidance of doubt, the recurring charge subject to automatic renewal is the monthly platform subscription fee, not the one-time ADUExpert certification fee.
• Annual reminders: For so long as your subscription remains active, TwoDwell will send you an annual reminder disclosing: (a) the Services to which your subscription applies; (b) the frequency and amount of recurring charges; and (c) how to cancel your subscription, including a direct link to the cancellation mechanism in your account settings.
• Enrollment confirmation: Following your enrollment, TwoDwell will provide you with an acknowledgment confirming your subscription terms, including the automatic renewal terms, the cancellation policy, and how to cancel, in a format that can be retained for your records (e.g., email).
• Cancellations: You may cancel your subscription at any time, at will and without further obstruction, through the prominently located cancellation link or button within your account settings on twodwell.com. You may also cancel by emailing legal@twodwell.com. Cancellation takes effect at the end of the current billing period, and no further charges will be assessed after your cancellation is processed. Unless required by law, fees already paid are non-refundable. If we present any offer or information during the cancellation process, you may complete your cancellation at any time by clicking the “Cancel” button. We will promptly process your cancellation upon receipt of your request.
• Certification fee refund: You may request a full refund of the ADUExpert certification fee within fourteen (14) days of enrollment, provided you have not completed the certification course. Refund requests may be submitted through your account settings or by emailing legal@twodwell.com. If you obtained your enrollment through the referral program, any referral credits issued to the referring Member will be reversed upon your refund. No refund is available after completion of the certification course or after the 14-day refund window, whichever occurs first.
• Failed payments: If a scheduled payment fails, TwoDwell will notify you and attempt to process the charge again. You will have a seven (7) day grace period to update your payment method. If payment is not received within the grace period, your access to Member-only features will be suspended. Your account will remain eligible for reinstatement for thirty (30) days following suspension. If payment is not received within the reinstatement period, your subscription will be cancelled and your access to Member-only features will terminate. TwoDwell will not charge your payment method after cancellation for non-payment without obtaining your express consent to re-enroll.
• Changes to pricing: We will provide you with clear and conspicuous notice of any fee change, along with cancellation instructions, no fewer than seven (7) and no more than thirty (30) days before the change takes effect. The updated fee will apply beginning with your next billing period after the notice period has elapsed. If you do not cancel before the new fee takes effect, your continued use of the Services constitutes acceptance of the revised pricing.

TwoDwell may offer a referral program providing discounts or credits to referring and referred Members. Referral credits are non-transferable and have no cash value. TwoDwell reserves the right to modify or discontinue the referral program at any time.

State automatic renewal laws: Certain states, including California, Virginia, Colorado, and Massachusetts, impose specific requirements on automatic renewal and continuous service offers. To the extent any provision of this Section 4 conflicts with the mandatory requirements of your state of residence, the applicable state law will govern with respect to that provision. Nothing in these Terms limits any rights you may have under applicable state automatic renewal or consumer protection laws.

5. Professional Responsibility and No Legal/Financial Advice

While TwoDwell provides tools and reports to help assess ADU feasibility and related scenarios, you acknowledge and agree that the Services do not constitute legal, financial, tax, or design advice and do not replace consultation with your chosen qualified professionals or local authorities. ADU Ready Reports are feasibility analyses based on available data and do not guarantee zoning approval, permit issuance, or project viability. Outputs from Lottie, TwoDwell’s AI assistant, are generated using artificial intelligence and publicly available regulatory data. Such outputs are informational only, may be incomplete or inaccurate, and do not replace independent verification with local authorities. TwoDwell may impose reasonable usage limits on Lottie, including limits on the number or frequency of queries. Current usage limits, if any, are published in your account dashboard or membership documentation. TwoDwell reserves the right to modify these limits at any time upon notice to you.

You agree that you are solely responsible for verifying zoning, building codes, and other requirements with relevant jurisdictions before acting on any output from the Services.

6. User Content

You retain ownership of the content and project data that you submit to the Services (“User Content”).

You grant TwoDwell a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, and display User Content as reasonably necessary to provide and improve the Services. This license will terminate when you delete your account or your access to the Services is terminated, except that TwoDwell retains a perpetual, irrevocable license to use aggregated and de-identified data derived from User Content.

You hereby consent to TwoDwell’s collection, use, storage and sharing of User Content in accordance with TwoDwell’s Privacy Policy, which is hereby incorporated into the Terms by this reference. CRM data (including leads, contacts, and pipeline notes) that you enter into the Pro CRM feature is part of your User Content, and TwoDwell’s license to such data is limited to what is reasonably necessary to provide the Services. We may use aggregated and/or de-identified data derived from User Content to improve the Services, develop new features, and for analytics and research.

7. Intellectual Property

The Services, including all software, content, branding, and underlying technology, are owned by TwoDwell or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in Section 2 of these Terms, you receive no other rights in or to the Services.

You may not use TwoDwell’s trademarks, logos, or branding without our prior written permission.

8. Prohibited Activities

You agree not to use the Services to:

• Violate any applicable law or regulation or for any other unlawful purpose.
• Harass, abuse, or harm others or interfere with their use of the Services.
• Introduce viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to any systems or networks.

We may suspend or terminate access, in our sole and complete discretion, if we believe you have violated these Terms or pose a risk to others or to the security or integrity of the Services.

9. Third-Party Services

The Services may integrate with and link to third-party services, including Stripe (payments), Google Maps or equivalent mapping providers (property data and visualization), Professional Mortgage Group, Inc. dba ProMortgage (financing via the ADU Advantage program), Circle.so (community platform), and Customer.io (messaging platform), as well as other application programming interfaces and APIs. We are not responsible for third-party services, and your use of them is subject to the terms and policies of such third-party service providers, including without limitation, data use and security policies. Any financing inquiry or application through ADU Advantage is conducted by ProMortgage as a licensed mortgage broker, subject to ProMortgage’s own terms and privacy policy. TwoDwell does not collect or store loan application data, including Social Security numbers or income documentation. TwoDwell is not a lender, mortgage broker, or financial institution and does not originate loans. Pre-qualification estimates available through the Services collect only basic property and income-range information and do not involve a credit pull.

TwoDwell’s member community is hosted on Circle.so, a third-party platform. Your use of the community is subject to Circle.so’s own terms of service. TwoDwell is not responsible for Circle.so’s availability, content moderation, or data practices beyond what is required under our service provider agreement with Circle.so.

TwoDwell uses Customer.io to deliver automated email communications, including account verification, onboarding, billing notifications, and other service-related messages. Customer.io processes your email address and usage activity as a service provider to TwoDwell.

Members may not use third-party AI meeting assistants, transcription bots, or automated recording tools during TwoDwell community sessions hosted on the platform. TwoDwell may record sessions using the platform’s built-in recording functionality and will notify participants when a session is being recorded.

10. Warranties and Disclaimers

You warrant to TwoDwell that you have the full power and authority to enter into this Agreement, either on your own behalf or on behalf of an entity that you have authority to represent. You further warrant that you have all rights necessary to submit your User Content and that it does not infringe any third-party rights. The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not guarantee that any particular uptime, outcome or permit will be achieved.

11. Limitation of Liability

To the maximum extent permitted by law:

• TwoDwell will not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits or revenues, arising out of or related to your use of the Services, even if TwoDwell has been advised of the possibility of such damages.
• TwoDwell’s total aggregate liability for any claims arising out of or related to the Services will not exceed the amounts you paid to TwoDwell for the Services in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold TwoDwell and its officers, directors, employees, and agents harmless from any claims, demands, damages, causes of action, suits at law or equity, losses, and expenses or any other liability (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; (d) your negligent act or omission or willful misconduct; or (e) your placement, use, maintenance, or removal of any signage or QR codes provided by us as part of your membership, including but not limited to claims arising from personal injury, property damage, or violations of applicable laws or regulations related to such signage or QR codes.

13. Termination

You may stop using the Services at any time. For curable violations of these Terms, TwoDwell will provide written notice describing the violation and a fifteen (15) day period to cure. TwoDwell may suspend or terminate your access immediately, without prior notice, for violations that pose a risk to the security or integrity of the Services, involve fraud or misrepresentation, or are not reasonably curable. We may also discontinue the Services at any time.

Upon termination, your right to use the Services will end and any licenses granted by TwoDwell automatically terminate without further action by or notice from TwoDwell.

14. Changes to the Services or Terms

We may update the Services, including the availability or non-availability or modification of specific features in our sole and complete discretion. We may also modify these Terms from time to time. If we make material changes to the Terms, we will provide you with at least thirty (30) days’ prior notice by email to the address associated with your account. You may terminate your subscription before the updated Terms take effect by canceling your account. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. For changes to subscription fees specifically, the notice requirements in Section 4 apply.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California (without regard to conflict of laws principles). Before filing any claim arising out of or relating to these Terms or the Services, you agree to attempt to resolve the dispute informally by contacting legal@twodwell.com. The parties will attempt to resolve the dispute within thirty (30) days. If the dispute is not resolved within that period, either party may proceed as set forth below. You agree that any disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in San Diego County, California, unless otherwise required by law.

16. Miscellaneous

TwoDwell will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power failures, internet or telecommunications disruptions, or government actions.

TwoDwell’s failure to enforce any provision of these Terms shall not constitute a waiver of any other term. The following Sections will survive expiration or termination of these Terms: Membership Materials (Section 3), Subscriptions, Billing, and Cancellations (Section 4, with respect to any amounts accrued or due prior to termination), Professional Responsibility and No Legal/Financial Advice (Section 5), User Content (Section 6, with respect to the license granted to TwoDwell and any data already submitted), Intellectual Property (Section 7), Third-Party Services (Section 9), Warranties and Disclaimers (Section 10), Limitation of Liability (Section 11), Indemnification (Section 12), Termination (Section 13), Governing Law and Disputes (Section 15), and Miscellaneous (Section 16). In addition, any other provision of these Terms that by its nature or context would reasonably be expected to survive expiration or termination shall so survive, regardless of whether it is expressly listed above. Invalid provisions will be severed without affecting remaining Terms. All rights not expressly granted in these Terms are reserved by TwoDwell.
